Terms of Service

In these Terms the following words have the meanings set out below:

• “Aiseptor,” “we,” “us,” or “our” means Aiseptor Inc., a Delaware corporation.
• “Platform” means the Aiseptor exam-security service, including the proctoring agent software (Windows and macOS), the proctor dashboard, the admin API, and all supporting infrastructure.
• “Customer” means any institution, assessment platform, enterprise organization, or individual that has agreed to these Terms and holds (or has applied for) an Aiseptor account.
• “Candidate” means an individual who installs and runs the Aiseptor agent on their device for the purpose of participating in a Customer-administered exam session.
• “Session” means a single proctored exam period, beginning when the Aiseptor VPN tunnel is established and ending when it is torn down.
• “Aegis Report” means the per-Session integrity report generated by the Platform and delivered to the Customer.
• “Content” means any data, text, exam configurations, policies, or materials uploaded or transmitted through the Platform by a Customer or Candidate.
• “Documentation” means the technical and user documentation made available by Aiseptor at aiseptor.com or via the dashboard.

By accessing aiseptor.com, the Aiseptor dashboard, or any Aiseptor-branded property (collectively, the “Site”), you agree to be bound by these Terms. If you are accessing the Site on behalf of an organization, you represent that you have authority to bind that organization.

You may not:

• access or attempt to access any part of the Platform for which you do not have authorization;
• use automated tools, scrapers, or bots to extract data from the Site;
• introduce malicious code, viruses, or any material that could disrupt the Platform;
• attempt to reverse-engineer, decompile, or derive source code from any part of the Platform; or
• use the Platform for any purpose that violates applicable law or these Terms.

3.1 Account registration

To access the Platform, Customers must create an account using accurate and complete information. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. Notify us immediately at legal@aiseptor.com of any unauthorized use.

3.2 Subscription and fees

Platform access is billed on a per-Session basis at the rates set out on the pricing page or in your Order Form. Fees are due in advance of the applicable billing period. All fees are non-refundable except as required by applicable law or expressly stated in an Order Form.

Aiseptor reserves the right to modify pricing on thirty (30) days' written notice. Continued use of the Platform after the notice period constitutes acceptance of the revised pricing.

3.3 Customer responsibilities

Customers are responsible for:

• obtaining any legally required consents from Candidates before deploying the Platform;
• configuring exam policies accurately and in compliance with applicable law;
• ensuring that Candidates have received adequate notice of Aiseptor's involvement in the assessment (see Section 5);
• maintaining the security of API keys and admin credentials; and
• complying with all applicable data protection laws in connection with Candidate data received via Aegis Reports.

3.4 Data processing

To the extent Aiseptor processes personal data on behalf of a Customer as a data processor under applicable data protection law (including the GDPR and CCPA), a Data Processing Addendum (“DPA”) governs that processing. Customers that require a DPA should request one at legal@aiseptor.com.

The Platform is provided solely for the purpose of securing high-stakes remote assessments. Customers and their authorized users may not use the Platform to:

• monitor individuals outside of an active, consented exam Session;
• collect or aggregate Candidate data for purposes other than assessment integrity;
• use Aegis Reports to make employment, credit, insurance, or housing decisions;
• share Candidate session data with unauthorized third parties;
• configure exam policies that block access to emergency services or legally protected resources; or
• use the Platform in a jurisdiction or manner that violates applicable export-control, sanctions, or privacy law.

Aiseptor may suspend access to the Platform immediately and without prior notice if we have reasonable grounds to believe that you are in material breach of this Section.

5.1 What the agent does

The Aiseptor agent is a temporary, user-space network security tool that:

• establishes an ephemeral encrypted session tunnel for the duration of your exam Session;
• enforces an access policy that restricts outbound connections to exam-approved resources;
• monitors running process names against a known-AI-tool denylist;
• checks GPU VRAM utilization for anomalies consistent with on-device LLM inference; and
• checks for the presence of AI model files at standard install paths.

The agent does not capture video, audio, keystrokes, screenshots, browser history, personal files, or any content outside the scope described above. All agent activity terminates and the tunnel is torn down when your Session ends. No persistent software remains on your device after Session close.

5.2 Candidate consent

By installing and running the Aiseptor agent, you consent to the data collection described in Section 5.1 and in our Privacy Policy. If you do not consent, do not install or run the agent. Contact the administering institution for alternative assessment arrangements.

5.3 Candidate obligations

During an active Session, you agree to:

• use only hardware and software you are authorized to use for the exam;
• not attempt to bypass, disable, or tamper with the agent or VPN tunnel;
• not use AI tools, overlays, remote-access sessions, proxy services, or any aid not expressly permitted by the administering institution; and
• comply with the exam policies configured by the administering institution.

Aiseptor is not a party to the assessment contract between you and the administering institution. Integrity-flag decisions (including any consequences arising from an Aegis Report) are made solely by the administering institution.

5.4 System requirements

The agent requires a supported operating system (Windows 10 or later; macOS 12 or later), an active internet connection, and user-level permission to establish a VPN tunnel. It is your responsibility to ensure your device meets these requirements before the Session begins. Aiseptor is not liable for exam interruptions caused by unsupported device configurations.

All rights, title, and interest in and to the Platform, including all software, algorithms, user interfaces, documentation, and derivative works thereof, are and remain the exclusive property of Aiseptor and its licensors. These Terms do not transfer any ownership rights to you.

Subject to your compliance with these Terms, Aiseptor grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for its intended purpose during the term of your subscription.

You retain all rights to Content you submit through the Platform. By submitting Content, you grant Aiseptor a limited license to process that Content as necessary to provide the Platform. We do not claim ownership of your Content.

“Aiseptor,” the Aiseptor logo, and related marks are trademarks of Aiseptor Inc. You may not use them without our prior written consent.

Each party may receive non-public, proprietary, or confidential information of the other party (“Confidential Information”). Each party agrees to:

• hold the other's Confidential Information in strict confidence using at least the same care it uses for its own confidential information (and no less than reasonable care);
• use Confidential Information only to fulfill obligations or exercise rights under these Terms; and
• disclose Confidential Information only to employees or contractors who need to know it and are bound by confidentiality obligations at least as protective as this Section.

These obligations do not apply to information that: (a) is or becomes publicly known through no fault of the receiving party; (b) was rightfully known before disclosure; (c) is independently developed without use of Confidential Information; or (d) must be disclosed by law, provided the receiving party gives prompt notice where legally permitted.

Aiseptor represents and warrants that the Platform will perform materially in accordance with the Documentation under normal use.

Except as expressly stated above, the Platform is provided “as is” and “as available.” To the maximum extent permitted by applicable law, Aiseptor and its suppliers disclaim all other warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from course of dealing or usage of trade.

Aiseptor does not warrant that:

• the Platform will be uninterrupted, error-free, or free from security vulnerabilities;
• Aegis Reports will detect all instances of unauthorized aid or policy violation; or
• the Platform will meet every specific assessment-security requirement of every Customer.

Assessment integrity conclusions are probabilistic. Customers are solely responsible for any decisions made on the basis of Aegis Reports.

To the maximum extent permitted by applicable law, in no event will Aiseptor, its directors, employees, agents, partners, suppliers, or licensors be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, goodwill, or business opportunities, arising out of or related to these Terms or the Platform, regardless of the theory of liability and even if Aiseptor has been advised of the possibility of such damages.

Aiseptor's aggregate liability arising out of or related to these Terms will not exceed the greater of: (a) the total fees paid by you to Aiseptor in the twelve (12) months preceding the claim; or (b) one hundred US dollars (USD $100).

Some jurisdictions do not allow limitations on implied warranties or exclusions of certain damages. To the extent these limitations are prohibited by applicable law, they apply only to the maximum extent permitted.

You agree to defend, indemnify, and hold harmless Aiseptor and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:

• your use of the Platform in violation of these Terms;
• your Content or exam configurations;
• your failure to obtain required consents from Candidates; or
• any dispute between you and a Candidate or third party arising from an assessment administered using the Platform.

These Terms are effective from the date you first access the Platform and remain in force until terminated.

Either party may terminate these Terms on thirty (30) days' written notice. Aiseptor may suspend or terminate your access immediately and without notice if:

• you materially breach these Terms and fail to cure within ten (10) days of notice (where cure is possible);
• you violate Section 4 (Platform acceptable use);
• you become insolvent or subject to bankruptcy proceedings; or
• continued provision of the Platform would expose Aiseptor to legal liability.

On termination: (a) your access to the Platform ceases; (b) any outstanding fees become immediately due; and (c) each party returns or destroys the other's Confidential Information. Sections 6, 7, 8, 9, 10, and 12 survive termination.

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-law principles. Any dispute arising under these Terms will be resolved by binding arbitration administered by the American Arbitration Association (“AAA”) under its Commercial Arbitration Rules, conducted in English, seated in New York, New York.

Either party may seek injunctive or other equitable relief in a court of competent jurisdiction without first submitting to arbitration.

Class action waiver. You agree to resolve disputes with Aiseptor on an individual basis only. You waive the right to bring or participate in any class, collective, or representative action against Aiseptor.

If you are a consumer in a jurisdiction that does not permit mandatory arbitration or class-action waivers for consumer disputes, the relevant portions of this Section do not apply to you, and disputes will be resolved in the courts of your jurisdiction.

Aiseptor may update these Terms from time to time. When we make material changes, we will:

• update the effective date at the top of this page;
• notify active Customers by email at least fourteen (14) days before the change takes effect; and
• for significant changes, provide a plain-language summary of what changed.

Your continued use of the Platform after the effective date constitutes your acceptance of the revised Terms. If you do not agree with a change, you must stop using the Platform and terminate your account before the effective date.
